3. Buyer Representations & Qualifications

By placing an order, you represent and warrant that:

  • You are qualified, trained, and/or experienced in the safe handling, storage, and disposal of research chemicals and laboratory materials.
  • You have read and understand all product labels, Safety Data Sheets (SDS), and applicable handling guidelines before using any product.
  • You will use all products exclusively for legitimate, lawful research purposes in an appropriate laboratory or research setting.
  • You are not purchasing products for the purpose of resale, human consumption, clinical application, or any use prohibited by these Terms.

4. Assumption of Risk

  • You acknowledge that research chemicals and peptides may pose health, safety, or environmental risks if improperly handled, stored, or disposed of.
  • By purchasing and receiving products from PeptideArk, you voluntarily assume all risks associated with the possession, handling, storage, transport, use, and disposal of such products.
  • PeptideArk and Silver Gate Ventures LLC shall not be held responsible for any injury, illness, property damage, environmental contamination, or any other harm resulting from the use or misuse of products purchased from this website.

5. Product Information & Warranty Disclaimer

  • Product descriptions and information on this website are provided for informational purposes only and do not constitute medical, scientific, or professional advice.
  • All products are sold “AS-IS” and “AS-AVAILABLE” without any warranty, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of product descriptions.
  • PeptideArk does not guarantee specific research outcomes, purity levels beyond what is stated on the certificate of analysis, or suitability for any particular research application.

6. Liability Disclaimer

  • PeptideArk and Silver Gate Ventures LLC, including its members, managers, officers, employees, agents, and affiliates, are not liable for any misuse, improper handling, improper storage, or unlawful application of products.
  • The customer assumes full responsibility for safe handling, storage, disposal, and compliance with all applicable local, state, federal, and international laws.
  • PeptideArk is not liable for any adverse effects, injuries, damages, or losses resulting from the use of products in any manner inconsistent with their intended research-only purpose.

7. Indemnification

  • You agree to indemnify, defend, and hold harmless PeptideArk, Silver Gate Ventures LLC, its members, managers, officers, employees, agents, affiliates, suppliers, and service providers from and against any and all claims, demands, actions, suits, damages, liabilities, losses, settlements, judgments, costs, and expenses (including but not limited to reasonable attorneys' fees and court costs) arising from or related to:
  • Your use, misuse, or handling of any products purchased from PeptideArk.
  • Your violation of these Terms & Conditions or any applicable law or regulation.
  • Any claim by a third party arising from your actions or omissions related to products purchased from PeptideArk.
  • Any regulatory investigation, enforcement action, or legal proceeding related to your purchase or use of products.

8. Prohibited Uses

You agree not to:

  • Use products for medical, clinical, therapeutic, diagnostic, or human consumption purposes.
  • Administer products to humans or animals.
  • Resell, redistribute, or transfer products without prior written permission from PeptideArk.
  • Violate any local, state, federal, or international laws regarding the purchase, possession, transport, or use of research materials.
  • Misrepresent the intended use of products at the time of purchase.

9. Orders, Payments & Shipping

  • All payments must be made in full before orders are processed.
  • We reserve the right to cancel, refuse, or limit any order at our sole discretion, including orders that appear to violate these Terms.
  • Prices are subject to change without notice.
  • Risk of loss and title for products transfers to the buyer once the package is tendered to the shipping carrier.
  • PeptideArk is not responsible for delays, seizures, confiscations, or losses caused by carriers, customs authorities, or regulatory agencies.
  • Due to the nature of our products, all sales are final and returns are not accepted except as outlined in our Refund & Return Policy.

10. Compliance with Laws

  • The customer is solely responsible for ensuring that products ordered are legal to purchase, import, possess, and use in their jurisdiction.
  • PeptideArk makes no representation that products are legal or appropriate for use in all jurisdictions. It is your responsibility to verify compliance with all applicable laws before placing an order.
  • PeptideArk shall not be held liable for any legal consequences arising from the customer's failure to comply with local, state, federal, or international regulations.

11. Limitation of Liability

  • TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF PEPTIDEARK AND SILVER GATE VENTURES LLC FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF ANY PRODUCT SHALL NOT EXCEED THE PURCHASE PRICE PAID BY YOU FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.
  • IN NO EVENT SHALL PEPTIDEARK OR SILVER GATE VENTURES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BODILY INJURY, PROPERTY DAMAGE, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER PEPTIDEARK WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

12. Dispute Resolution & Arbitration

  • Any dispute, controversy, or claim arising out of or relating to these Terms, your use of the website, or any product purchased from PeptideArk shall first be attempted to be resolved through good-faith informal negotiation. You agree to contact us at peptideark@pm.me before initiating any formal legal proceedings.
  • If the dispute cannot be resolved through informal negotiation within thirty (30) days, either party may initiate binding arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall take place in Lake County, Illinois, and the arbitrator's decision shall be final and binding.
  • The costs of arbitration shall be shared equally between the parties, except that each party shall bear its own attorneys' fees unless the arbitrator determines otherwise.

13. Waiver of Class Action

  • YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
  • You waive any right to participate in a class action lawsuit or class-wide arbitration against PeptideArk or Silver Gate Ventures LLC.
  • If this class action waiver is found to be unenforceable, then the entirety of the arbitration clause (Section 12) shall be null and void, and the dispute shall be subject to the jurisdiction provisions in Section 25 (Governing Law & Jurisdiction).

14. Statute of Limitations

  • You agree that any claim or cause of action arising out of or related to your use of this website, purchase of products, or these Terms & Conditions must be filed within one (1) year after such claim or cause of action arose. Failure to file within this period shall result in the permanent barring of such claim.
  • This limitation applies to the fullest extent permitted by applicable law, regardless of the type of claim or legal theory.

15. Force Majeure

  • PeptideArk shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government orders or regulations, embargoes, sanctions, war, terrorism, civil unrest, labor disputes, supply chain disruptions, carrier delays, power outages, cyberattacks, or any other event that is unforeseeable or unavoidable.
  • In the event of a force majeure, our obligations shall be suspended for the duration of the event, and we will make reasonable efforts to resume performance as soon as practicable.

16. Intellectual Property

  • All website content, including text, graphics, logos, product images, descriptions, software, and design elements, is the exclusive property of PeptideArk and/or Silver Gate Ventures LLC and is protected by applicable intellectual property laws.
  • No content may be copied, reproduced, modified, distributed, displayed, or used for commercial purposes without prior written consent from PeptideArk.

  • Our website may contain links to third-party websites, services, or content that are not owned or controlled by PeptideArk.
  • PeptideArk assumes no responsibility for the content, privacy policies, terms, or practices of any third-party websites or services. You access third-party links at your own risk.
  • The inclusion of any link does not imply endorsement, affiliation, or sponsorship by PeptideArk.

18. Account Termination

  • PeptideArk reserves the right to suspend or terminate your account and refuse any current or future use of the website at our sole discretion, without notice or liability, for any reason, including but not limited to violation of these Terms.
  • Upon termination, your right to use the website ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to indemnification, limitation of liability, assumption of risk, dispute resolution, and statute of limitations.

19. Assignment

  • You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of PeptideArk.
  • PeptideArk may freely assign, transfer, or delegate its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
  • Any attempted assignment in violation of this section shall be null and void.

20. Privacy & Data

  • Your use of this site is also governed by our Privacy Policy, which explains how we collect, handle, and protect customer data, payments, and cookies.

21. Severability

  • If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

22. No Waiver

  • The failure of PeptideArk to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by PeptideArk.

23. Entire Agreement

  • These Terms & Conditions, together with our Privacy Policy, Refund & Return Policy, and Shipping Policy, constitute the entire agreement between you and PeptideArk regarding your use of this website and purchase of products.
  • These Terms supersede any prior agreements, communications, or representations, whether oral or written, between you and PeptideArk.
  • No statement, promise, or representation made by any employee, agent, or representative of PeptideArk that is not contained in these Terms shall be binding.

24. Modifications to Terms

  • We reserve the right to update, modify, or replace these Terms & Conditions at any time at our sole discretion.
  • Changes will be effective immediately upon posting to this page with an updated Effective Date. It is your responsibility to review these Terms periodically.
  • Continued use of the website after changes are posted constitutes your acceptance of the revised Terms.

25. Governing Law & Jurisdiction

  • These Terms & Conditions are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.
  • To the extent that arbitration is not required under Section 12, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Lake County, Illinois, and you hereby consent to the personal jurisdiction and venue of such courts.
